Hello everyone, I've got a question on board and board voting. Is it allowable to have a board member give (proxy) their votes to other board members? Hello everyone, I've got a question on board and board voting. Is it allowable to have a board member give (proxy) their votes to other board members? This is in regards to board only votes, not votes pertaining to all shareholders. I've tried doing some research, I found this (http://www.nycon.org/latest-news/news/top-5-bylaws-pitfalls-new-york-states-nonprofits/ specifically "Pitfall #3") which seems to be mainly focused on non-profilt boards. I also found this (https://www.avvo.com/legal-answers/can-a-board-member-of-a-hoa-give-his-proxy-to-vote-1361819.html), but the answers there are for California law (this is in NYC). Another resource similarly on California law is https://www.davis-stirling.com/HOME/Director-Proxies. Is this the same in NYC? I can't find a reliable source of Co-Op law to see which duties can be delegated to others. Thank you very much for the help! Any advice or resources are much appreciated. [less]
